PUBLIC OFFER AGREEMENT FOR INDIVIDUALS WITH RESPECT TO PURCHASE OF A TICKET FOR CSTB.TELECOM & MEDIA 2020 FORUM

MIDEXPO - exhibitions and fairs LLC, hereinafter referred to as the “Contractor”, hereby concludes this agreement (hereinafter the “Offer” or the “Agreement”) with any individual, hereinafter referred to the “Customer”. This Agreement shall be deemed as a contract of adhesion and shall regulate legal relations between the Parties in accordance with Art. 435 and Art. 437(2) of the Civil Code of the Russian Federation.


1. TERMS AND DEFINITIONS USED IN THIS AGREEMENT


1.1. “Customer” shall mean any individual who has accepted the terms and conditions of this Offer in full and without any exceptions (who has accepted the Offer).


1.2. “Contractor” shall mean MIDEXPO - exhibitions and fairs Limited Liability Company, the organizer of the Event.


1.3. “Event” shall mean CSTB.Telecom & Media 2020 forum organized by the Contractor. Dates of the forum holding: January 28 - 30, 2020. Place of the forum holding: International Exhibition Center Crocus Expo, Pavilion No. 2 (address: 18 Mezhdunarodnaya Str., Krasnogorsk, Krasnogorsky District, Moscow Region, Russian Federation, 143401). More details on the forum are available at www.cstb.ru.


1.4. “Ticket” shall mean an e-document proving the right for attending the Event upon payment thereof. Every Ticket shall bear an e-ticket QR code. One Ticket shall be valid for one person only.


2. SUBJECT OF THE AGREEMENT


2.1. The subject of this Offer shall be the sale of a Ticket to the Customer for the Event under the terms and conditions of this Offer.


2.2. The acceptance of this Offer shall be deemed as the series of the following actions taken by the Customer:


  • signing up for the Event by filling out the relevant form on EventBank platform;
  • prepayment of a Ticket in full on EventBank platform.


2.3. The Customer’s acceptance shall be unconditional and full acceptance of the terms and conditions of this Agreement.


2.4. The Contractor shall provide the access to the Event only upon receipt of 100% prepayment of the Ticket from the Customer.


3. TICKET ACQUISITION RULES


3.1. The Customer shall sign up for the Event on EventBank platform i.e. fill in all mandatory fields of the relevant form provided on EventBank platform. The Customer shall be fully responsible for accuracy and reliability of the information provided by him/her when being registered and signing up for the Event.


3.2. Filling in of the sign-up form shall be deemed as booking of a Ticket. Tickets are booked at the prices indicated on EventBank platform and Event’s website.


3.3. Upon signing up for the Event made by the Customer the Contractor shall send an e-Ticket to the mail address specified by the Customer for signing up for the Event, which bears an e-ticket QR code. This e-ticket QR code shall be kept confidential. The Customer shall bear personal liability for confidentiality of the information received including the QR code.


3.4. The Customer undertakes to pay for the Ticket at his/her own expense by any means of wire transfer of funds as provided on EventBank platform (payment systems) using the payment service provided. Payment procedure including control, confirmation and completion thereof shall be carried out according to the rules and terms applied by a payment system chosen by the Customer as a way of payment, rules and terms of payment service and legal documents available on EventBank platform. The access to the Event shall be provided by the Contractor only upon receipt of 100% prepayment of the Ticket from the Customer.


3.5. The Customer shall be admitted to the Event upon presentation of his/her paid e-Ticket bearing a QR code. The Customer undertakes to present a Ticket in a hard or soft copy indicating an e-ticket QR code. The paid Ticket bearing a QR code shall be exchanged for a visitor badge at the check-in counter during the Event period. The visitor badge shall provide access to the Event. Please note that any other grounds for the Customer’s identification and exchange of a Ticket for a badge, except for those set forth above, are not applicable.


3.6. E-Tickets for the Event may not be handed over or resold to third parties. The Customer shall be solely liable for safekeeping of his/her Ticket and e-ticket QR code and bear all risks of loss thereof upon delivery of the Ticket by the Contractor pursuant to clause 3.3. of this Offer.


3.7. Additional options:


The Ticket paid by the Customer may also serve as a ground for attending CSTB.Telecom & Media 2020 exhibition (hereinafter the “exhibition”). The Customer may be admitted to the exhibition if he/she presents a visitor badge received by the Customer pursuant to clause 3.5. of this Offer.


If the Ticket remains unpaid it may, however, be deemed as a ground for attending CSTB.Telecom & Media 2020 exhibition, but it shall not allow the Customer to attend CSTB.Telecom & Media 2020 forum. In such case the Customer may be admitted to the exhibition having presented his/her exhibition visitor badge which he/she can receive by presenting his/her unpaid Ticket bearing a QR code at the relevant check-in counter.


4. rights and obligations of the parties


4.1. The Customer shall:


4.1.1. Prior to concluding this Agreement, review the terms and conditions hereof, the Ticket value, the content of website www.cstb.ru and EventBank platform.


4.1.2. Agree to the terms and conditions of this Offer.


4.1.3. Sign up for the Event. By signing up for the Event the Customer agrees with the terms and conditions of this Offer in full.


4.1.4. Provide correct and reliable information when signing up for the Event. The Contractor shall have right to refuse to sell a Ticket if the Customer refused to provide the information required.


4.1.5. Verify the information on booking by himself/herself before completion thereof. The Customer shall be fully responsible for reliability and proper use of the information provided by him/her for booking a Ticket.


4.1.6. Perform the purchase of a Ticket on EventBank platform.


4.1.7. Chose the way of Ticket payment from suggested ones on EventBank platform.


4.1.8. Pay the Ticket value in full in accordance with the terms and conditions of this Agreement, EventBank platform, payment systems and payment service.


4.2. When accepting this Offer the Customer shall give his/her written consent to processing of his/her personal data for the purpose of conclusion and consequent performance hereof. The data provided by the Customer shall be used for the purpose of rendering services and delivery of information to the Customer.


The personal data of the Customer shall, during order processing, be transferred to payment systems to allow payment receipt from the Customer and consequent payment tracking; communication companies which provide for transferring data through communication channels for the purpose of delivering e-mail messages from the Contractor to the Customer; the Contractor itself and other parties engaged by the Contractor in order to register the Customer for the Event and ensure badge issue records and receiving of a badge by the Customer, and to deliver e-mail messages to the Customer.


4.3. The Contractor shall:


4.3.1. Send the Ticket for the Event to the Customer by e-mail as provided for in section 3 hereof.


4.3.2. Advise the Customer of any changes and updates in relation to the Event by publication of updated information on the Event website.


4.3.3. Exchange the Customer’s Ticket for a badge at the Event check-in counter during the Event period upon prepayment of the Ticket made by the Customer in full and presentation of a relevant e-ticket QR code.


4.4. The Contractor shall have right to:


4.4.1. Demand that the Customer entirely agree to the terms and conditions of the Offer.


4.4.2. Use any third parties for registration of the Customer to the Event, Ticket payment acceptance, badge issue and receipt.


4.4.3. Change the Event program at its own discretion by publication of updated information on the Event website.


4.4.4. Block and open access to the Event website at its own discretion, perform a service maintenance on the server and other equipment involved in the Event website activity etc.


5. REFUNDS


5.1. The Customer shall have right to refuse the services for attending the Event provided that he/she pays actual costs incurred by the Contractor in relation to performance of its obligations under the Agreement. Refusals to attend the Event are accepted at least 96 hours before the Event date. In case the Customer refuses to attend the Event less than 96 hours before the Event date, the Ticket value shall not be refunded.


5.2. In case of the Event cancellation the Ticket value shall be refunded to the Customer in full.


5.3. In cases mentioned above the refund shall be made by the same means of wire transfer as that by which the payment has been accepted from the Customer and to the same bank account as that from which the Customer has made payment. The value of Tickets sold at a discount shall be refunded with such discount taken into consideration.


6. LIABILITY AND DISPUTE SETTLEMENT


6.1. The Contractor shall not be liable for failure to perform or improper performance of its obligation or obligations of third parties to render services hereunder resulted from unreliability, lack or delay in provision of the confirming information provided by the Customer, and from other violation of the terms and conditions of this Offer committed by the Customer.


The Contractor shall not be liable for failure to execute or improper execution of an order resulted from communication errors in data communications networks, errors resulted from the Customer’s equipment malfunction.


The Contractor shall not be liable for malfunctions of EventBank platform, payment systems, any errors, failures, payment authorization failures and any other circumstances of inoperability or partial operability of payment systems preventing the Customer from Order payment.


6.2. The Contractor shall not be liable for the Customer’s failure to attend the Event by reason of circumstances beyond the Contractor’s control. In case the Customer fails to attend the Event the payment which has been made by the Customer, shall not be refunded.


6.3. The Contractor shall not be liable if the Event fails to meet the Customer’s expectations and to respond to his/her subjective opinion.


6.4. The Contractor shall in no case be liable for loss, damage and safekeeping of the Customer’s property during the Event period.


6.5. The parties shall make every effort to reach a consensus on any controversial issues by means of negotiations. In case the Parties are not capable to reach a consensus by means of negotiations, any disputes shall be settled in a court operating in the place where the Contractor is domiciled.


6.6. All other issues which are not provided for in this Offer shall be settled by the Parties in accordance with the current legislation of the Russian Federation.


6.7. The current legislation of the Russian Federation shall be applied to this Offer and legal relations arising out of or in connection with this Offer.


7. FORCE MAJEURE


7.1. The Contractor shall not be held liable for failure to perform or undue performance of its obligations under this Agreement if such failure resulted from force majeure circumstances being beyond the Contractor’s reasonable control and impeding performance of its obligations.


7.2. Force majeure circumstances may include, inter alia, natural calamities, military operations, national crisis, strikes in an industry or a region, governmental actions and regulations, failures in telecommunicative and energy networks, malicious software attacks as well as fraudulent actions of any third parties consisting in actions aimed at unauthorized access and/or damage to software and/or hardware system.


7.3. In the event of Force majeure circumstances the Contractor has the right to change the Event program, to shift the dates or to cancel the Event, in this case neither party has a right to claim the other party to pay the possible losses except the payment of the performed services under the Contract.


8. information confidentiality


8.1. The Customer shall be liable for confidentiality of his/her user name (login) and password and all actions he/she takes using such name (login) and password.


8.2. The Contractor shall not be liable and indemnify the Customer for losses incurred in connection with unauthorized use of Customer’s identification information by third parties.
